Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you (“you” or “user”) and Lucent Enterprises Ltd, a company incorporated in British Columbia, Canada (“Textual,” “we,” “us,” or “our”). These Terms govern your access to and use of the Textual blogging platform at textual.blog, including all related features, tools, and services.
By creating an account or using Textual, you agree to be bound by these Terms. If you do not agree, you may not use the service.
1. Service Description
Textual is a blogging platform that allows you to create, write, publish, and host blog content on the internet. Depending on your subscription plan, the service may include:
- Blog creation and content publishing
- A hosted subdomain (yourname.textual.blog) or custom domain connection
- Page view analytics
- Additional features as described on our pricing page
Features available to you depend on your subscription plan (Free, Pro, or Business). We may add, modify, or discontinue features at any time, with reasonable notice for material changes.
2. Account Registration and Security
To use Textual, you must create an account by signing in through Google OAuth. By creating an account, you represent that:
- You are at least 13 years of age
- The information provided through your Google account is accurate
- You will maintain the security of your account by protecting your Google credentials
- You will notify us immediately at support@textual.blog if you suspect unauthorized access to your account
You are responsible for all activity that occurs under your account. We are not liable for losses caused by unauthorized use of your account where you have failed to maintain the security of your credentials.
3. User Content and Ownership
a) Your ownership
You retain full ownership of all content you create and publish through Textual, including blog posts and other materials (“User Content”). We do not claim any intellectual property rights over your content.
b) License to Textual
By publishing content on Textual, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Textual service. We will not use your content in marketing materials without your explicit permission. This license exists only for as long as your content remains on the platform and terminates when you delete your content or close your account.
c) Your responsibility
You are solely responsible for your User Content. You represent and warrant that you own or have the necessary rights to publish all content you upload, and that your content does not infringe any third party's intellectual property or other rights.
4. “Powered by Textual” Attribution
Blogs hosted on Textual's Free and Pro plans include a “Powered by Textual” footer link. This attribution link must remain visible and unmodified. Removing, hiding, or altering the attribution link on these plans is a violation of these Terms and may result in suspension of your account.
Business plan subscribers may remove the “Powered by Textual” attribution at their discretion.
5. Acceptable Use
You agree not to use Textual for any of the following purposes:
- Publishing content that is illegal, defamatory, threatening, harassing, or that promotes violence or discrimination
- Distributing hate speech, content that incites violence, or content that targets individuals or groups based on protected characteristics
- Distributing spam, malware, phishing content, or scams
- Publishing sexually explicit content involving minors, or any content that exploits children
- Infringing on the copyrights, trademarks, or other intellectual property rights of others
- Impersonating another person or entity
- Interfering with, disrupting, or attempting to gain unauthorized access to the service, its infrastructure, or other users' accounts or data
- Using the platform for bulk or automated content generation intended to manipulate search engine rankings
- Using the service in violation of any applicable local, national, or international law or regulation
We reserve the right to remove content and suspend or terminate accounts that violate these guidelines. Where practical, we will provide notice before taking action, but we may act immediately in cases of severe violations (such as illegal content or security threats).
6. Copyright and Takedown Notices
Textual respects the intellectual property rights of others. If you believe that content hosted on Textual infringes your copyright, you may submit a takedown notice to our designated agent at support@textual.blog with the following information:
- A description of the copyrighted work you believe has been infringed
- The URL of the content on Textual that you believe is infringing
- Your contact information (name, address, email, phone number)
- A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner
- Your physical or electronic signature
Upon receiving a valid takedown notice, we will promptly remove or disable access to the allegedly infringing content and notify the user who posted it. The affected user may submit a counter-notice if they believe the content was removed in error. We maintain a repeat infringer policy and may terminate the accounts of users who repeatedly infringe copyright.
7. Payment Terms
a) Billing
Paid plans (Pro and Business) are billed in US dollars (USD) on a monthly recurring basis through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method at the beginning of each billing cycle until you cancel.
b) Free trials
Pro and Business plans include a 7-day free trial. During the trial, you have full access to paid features. You will not be charged until the trial period ends. If you cancel before the trial ends, you will not be charged and your account will revert to the Free plan. You may cancel at any time from your dashboard. Stripe will send you a reminder email before your trial ends and your first payment is processed.
c) Plan changes
You may upgrade or downgrade your plan at any time from your dashboard. Upgrades take effect immediately and are prorated for the remaining billing period. Downgrades take effect at the end of the current billing period.
d) Cancellation
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until then. After cancellation, your account will revert to the Free plan.
e) Failed payments
If a scheduled payment fails, we will attempt to process it again according to Stripe's retry schedule. If payment cannot be collected after repeated attempts, your subscription may be canceled and your account will revert to the Free plan. You will not lose your content, but access to paid features will be restricted until payment is resolved.
f) Refunds
We generally do not provide refunds for partial billing periods. If you believe you have been charged in error or have extenuating circumstances, please contact us at support@textual.blog and we will review your case.
g) Price changes
We reserve the right to change pricing for paid plans. We will provide at least 30 days' notice of any price change. Price changes will not affect your current billing period. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.
8. Free Plan
The Free plan provides access to Textual at no cost, with certain feature limitations as described on our pricing page. We intend for the Free plan to remain available indefinitely as a core part of our business model. If we ever need to make material changes to the Free plan, we will provide at least 90 days' notice and assist affected users with migration or data export. We will not remove features from the Free plan that you are actively using without offering a reasonable alternative.
9. Service Availability
We strive to maintain high availability but provide the service on a best-effort basis. We do not offer a Service Level Agreement (SLA) for Free or Pro plans. The service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice where possible)
- Emergency maintenance or security patches
- Outages at our infrastructure providers (Vercel, Neon, etc.)
- Circumstances beyond our reasonable control (force majeure)
We are not liable for any loss or damage resulting from service unavailability.
10. Intellectual Property
The Textual platform, including its name, logo, design, code, features, and documentation, is the property of Lucent Enterprises Ltd and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use the Textual name, logo, or branding except as part of normal use of the service (for example, the “Powered by Textual” footer link on your blog).
You may not copy, modify, distribute, sell, or lease any part of the platform or its underlying software, nor may you reverse engineer or attempt to extract the source code of the platform.
11. Termination
a) By you
You may close your account at any time from your dashboard or by emailing us. Upon account closure, your blog content will be unpublished immediately and your personal data will be deleted from our active systems within 30 days. Backups may retain your data for up to 90 additional days.
b) By us
We may suspend or terminate your account if you materially violate these Terms. Where practical, we will provide notice and an opportunity to address the violation before terminating your account. Except in cases of severe violations (such as illegal content or security threats), we will provide at least 14 days' notice before termination to allow you to export your content. In cases of severe or repeated violations, we may suspend or terminate your account immediately.
We may also terminate accounts that have been inactive for more than 12 consecutive months, after providing 30 days' notice via email.
c) Effect of termination
Upon termination, your license to use the service ends immediately. Any provisions of these Terms that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
12. Data Portability and Export
You may export your blog content at any time while your account is active. We believe your content belongs to you, and we will not hold it hostage. If you need assistance exporting your data, please contact us.
13. Disclaimer of Warranties
Textual is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Your use of the service is at your own risk.
14. Limitation of Liability
To the maximum extent permitted by applicable law:
- Lucent Enterprises Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use Textual.
- Our total aggregate liability for any claim arising out of or relating to these Terms or the service shall not exceed the greater of (a) the total amount you paid us in the 12 months preceding the claim, or (b) $100 CAD.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Lucent Enterprises Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the service
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
16. Dispute Resolution
If a dispute arises between you and Textual, we encourage you to first contact us at support@textual.blog so we can try to resolve it informally. We will make good-faith efforts to resolve any dispute within 30 days.
If informal resolution is not successful, any dispute arising from or relating to these Terms or the service shall be resolved through the courts of British Columbia, Canada, unless otherwise required by applicable consumer protection laws in your jurisdiction.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts located in Victoria, British Columbia, Canada, for the resolution of any disputes, except where consumer protection laws in your jurisdiction require otherwise.
18. Severability
If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lucent Enterprises Ltd regarding your use of Textual. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the service. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision.
20. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by posting a notice on the platform and, where we have your email address, sending you an email at least 30 days before the changes take effect.
The “Last updated” date at the top of this page indicates when these Terms were most recently revised. Your continued use of Textual after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the service and close your account.
